Options to close the company are outlined below:
There are two (2) ways that the charter for this company can cease to exist.
Option 1 - FORFEIT the Company Charter
We can issue a 30 day letter which would state that in 30 days from the date of the letter (or shortly thereafter) we will notify the Delaware Secretary of State that we are no longer the agent of record.
· The effective date of the forfeiture will be 30 days from the day the agent resignation is filed with the State of Delaware
· The effective date is not the day the agent resignation is filed with the State of Delaware as Delaware law requires that 30 days must elapse before the forfeiture becomes effective (the effective date is at least 60 days from the date of the 30 day letter).
· There is no fee involved to process this request.
· The only document you would receive is the 30 day letter from our office.
· Franchise Tax/Report fees due for the year in which the forfeiture takes place should be done online with the State of Delaware

We can file a Certificate of Dissolution with the State of Delaware. To process a Certificate of Dissolution with the State of Delaware we will need the following:
Completed/Signed Certificate of Dissolution document (signed by an Officer of the company).
Completed/Signed Franchise Tax Report for the year in which the company is being dissolved.
Completed/Signed Franchise Tax Report for the previous tax year (if not yet filed with the State of Delaware).
· There is a minimum fee of $85.00 (PLUS all Franchise Tax fees) to process the request.
· The effective date of the dissolution is the day the document is filed with the State of Delaware.
· You will receive a copy of the Certificate of Dissolution document that was filed with the State of Delaware for your records.
